Terms of service

The service

Nordet studies your workflow, builds an automation of it, and then hosts and operates that automation for you. Each engagement is defined by its own agreement and quote, which describe the specific workflow, what it connects to, and what we are responsible for. Where these terms and an engagement agreement differ, the engagement agreement wins.

Fees

Each engagement has a one-time setup fee and a monthly operation fee. Both are quoted from our published starting-at prices and finalized in the engagement agreement, based on the workflow you need. Fees are invoiced, and taxes are extra. The monthly fee covers hosting, operation, and monitoring of your workflow.

Your responsibilities

You agree to give us accurate information about your process, to respond to approval requests in a timely way, and to use the service lawfully. Where you authorize us to use your accounts and credentials, you confirm you have the right to grant that access and that our use of it, as agreed, is permitted.

Approvals and control

Consequential actions (anything legally binding, financial, or client-facing) require your explicit approval before they happen. You are responsible for the decisions you approve. If an approval request goes unanswered, the workflow safely defaults to taking no action.

Service and availability

We operate and monitor your workflow in good faith and fix failures promptly. We do not guarantee uninterrupted operation: the tools your workflow connects to can change or go down, and cloud infrastructure occasionally does too. When something breaks, fixing it is our job, and it is included in the monthly fee.

Intellectual property

We keep ownership of our tooling, methods, and know-how, including the components we reuse across clients. Your data is and stays yours. Nothing in an engagement transfers your data to us beyond what we need to operate the workflow for you.

Termination

Either party may end an engagement as set out in its engagement agreement. When an engagement ends, we decommission the workflow cleanly, return or delete your data as you prefer, and remove our access to your accounts.

Liability

To the extent permitted by law, our total liability arising out of the service is capped at the fees you paid us in the twelve months preceding the claim, and we are not liable for indirect or consequential damages. Nothing here limits liability that cannot be limited under applicable law.

Governing law

These terms are governed by the laws of the province of Québec and the laws of Canada applicable in it. Any dispute will be brought before the courts of the district of Montréal, Québec.
